LADIES OF SHORT PUMP – VENDOR AGREEMENT (VIRGINIA)

Effective Date: January 1 2026

This Vendor Agreement ("Agreement") is entered into by and between Ladies of Short Pump ("LSP"), a Virginia-based marketing and community platform, and [Vendor Legal Business Name] ("Vendor"). By listing products on ladiesofshortpump.com, Vendor agrees to the terms below.

Independent Contractor & Seller of Record

Vendor is an independent business and the sole seller of record. Vendor is not an employee, agent, partner, or representative of LSP.

Scope of LSP Services

LSP provides marketing, promotion, and community exposure only. LSP does not:

  • Process payments or checkout

  • Collect or remit taxes

  • Ship, fulfill, or store products

  • Issue refunds or warranties

Payments, Reporting & Per-Sale Fees

  • Vendor processes all customer payments independently.

  • Vendor shall pay LSP a per-sale marketing fee: [% or $************ per sale].

  • Sales Reporting: Vendor must submit a sales report monthly, no later than the 10th day of the following month.

  • Payment Due: Fees are due within 10 days of reporting.

Late Payments & Audit Rights

  • Late payments may incur a $50 late fee or 5% of the amount due, whichever is greater.

  • LSP reserves the right to audit sales records related to LSP referrals upon reasonable notice.

Taxes & Legal Compliance

Vendor is solely responsible for all licenses, insurance, product compliance, and collection/remittance of sales tax, including under Virginia law.

Fulfillment, Returns & Customer Service

Vendor is solely responsible for:

  • Order fulfillment and shipping

  • Returns, refunds, exchanges, and chargebacks

  • Customer service and dispute resolution

LSP does not mediate customer disputes.

Marketing & Intellectual Property

Vendor grants LSP a non-exclusive, royalty-free license to use Vendor’s name, logo, and product images for marketing. Vendor retains all ownership rights.

Non-Solicitation (Virginia-Compliant)

During the term of this Agreement, Vendor agrees not to directly solicit LSP members or vendors using LSP-provided contact lists outside of the platform.

Indemnification

Vendor agrees to indemnify and hold harmless LSP from any claims, losses, damages, or expenses (including attorneys’ fees) arising from Vendor products, services, sales, or legal violations.

Limitation of Liability

To the fullest extent permitted by Virginia law, LSP shall not be liable for indirect, incidental, or consequential damages related to Vendor participation.

Term & Termination

Either party may terminate this Agreement at any time upon written notice. Outstanding fees remain due upon termination.

Governing Law

This Agreement is governed by the laws of the Commonwealth of Virginia, with venue exclusively in Virginia.

Electronic Acceptance & Checkbox Requirement

Electronic acceptance, including completion of a required checkbox stating “I have read and agree to the Ladies of Short Pump Vendor Agreement”, constitutes a binding and enforceable agreement under Virginia law.

Event Liability Waiver & Assumption of Risk (Virginia)

Effective Date:January 1, 2026

By attending any Ladies of Short Pump (“LSP”) event, activity, meeting, or gathering, I acknowledge and agree to the following:

Assumption of Risk

I understand that participation in social, networking, dining, fitness, travel, or community events involves inherent risks, including but not limited to personal injury, illness, property damage, or loss.

Release of Liability

To the fullest extent permitted under Virginia law, I release and hold harmless Ladies of Short Pump, its officers, volunteers, ambassadors, partners, and affiliates from any claims, liabilities, or damages arising from participation.

Medical Responsibility

I am responsible for my own health, safety, and medical needs.

Photography & Media

I grant LSP permission to use photographs or recordings taken during events for promotional purposes unless I opt out in writing prior to the event.

Vendor & Sponsor Agreement (Virginia-Based)

This agreement applies to vendors, sponsors, speakers, and exhibitors participating in Ladies of Short Pump events or platforms.

Vendor Responsibilities

  • Maintain appropriate business licenses under Virginia law

  • Carry required insurance, if applicable

  • Deliver services/products as represented

  • Comply with venue and LSP guidelines

Payments & Cancellations

  • Vendor and sponsorship fees are non-refundable unless otherwise agreed in writing.

  • LSP reserves the right to reschedule or cancel events due to unforeseen circumstances.

Indemnification

Vendors agree to indemnify and hold harmless LSP from claims arising from their products, services, or conduct..

Affiliate & E-Commerce Disclaimer

Ladies of Short Pump operates an e-commerce and affiliate platform supporting women-owned and locally operated businesses.

Third-Party Products

  • LSP does not manufacture or guarantee third-party products sold through affiliates or vendors.

  • All product descriptions, pricing, and fulfillment are the responsibility of the vendor.

Transactions

  • Payments are processed via secure third-party platforms.

  • LSP is not responsible for shipping delays, product defects, or refunds unless otherwise stated.

Affiliate Relationships

Some links may generate commissions that support LSP operations at no additional cost to the buyer.

Photo, Video & Media Release

By attending an LSP event or participating on LSP platforms, I grant Ladies of Short Pump permission to photograph, record, and use my likeness for marketing, educational, or promotional purposes in print, digital, or social media formats.

This release is granted without compensation and may be revoked only in writing for future use.

Tiered Membership Terms & Conditions

Ladies of Short Pump offers tiered membership levels, which may include:

  • Social Memberships

  • Business Memberships

  • Vendor / Affiliate Memberships

  • Sponsorship Levels

Membership Benefits

Benefits vary by tier and may include:

  • Event access or discounts

  • Business directory listings

  • Promotional features

  • Speaking opportunities

  • Advertising or affiliate placement

Benefits are not guaranteed and may change as the organization evolves.

Billing & Renewal

  • Memberships may be monthly or annual.

  • Fees are non-refundable.

  • Auto-renewal applies unless canceled prior to renewal.

Termination

LSP reserves the right to suspend or terminate memberships for violations of policies or misuse of benefits.

Minor Attendance Policy (Virginia)

Ladies of Short Pump events are primarily intended for adults aged 21+.
Certain family-friendly or designated events may allow minors.

  • Minors must be supervised at all times by a parent or legal guardian.

  • LSP assumes no responsibility for minors at events.

  • Alcohol-related events are strictly 21+ in compliance with Virginia law.

Business Directory & Promotional Content Disclaimer

Listings in the LSP business directory or promotional materials do not constitute endorsements.

Members are responsible for:

  • Accuracy of business information

  • Compliance with Virginia licensing and regulations

  • Delivering advertised services ethically and legally

Governing Law & Jurisdiction

​

All agreements, policies, and participation in Ladies of Short Pump shall be governed by and interpreted in accordance with the laws of the Commonwealth of Virginia.

Any disputes shall be resolved in the appropriate courts located in Virginia.
